Acted for the client in a series of disputes with Rospotrebnadzor over claims associated with labelling, fulfilment of related instructions and accusations of technical regulation breaches. The lawyers succeeded in challenging and having a series of acts (about 50 court cases) invalidated, and preventing imposition of large fines (totalling about RUB 20 million). As a result, 100% of the disputes under the project were won and successful practice established of defending major retailers in disputes with Rospotrebnadzor.

Acted for the client in a Commercial Court over recovery from the client of major loans to the sum of RUB 89 million. The lawyers managed to prove that the client had returned both the principal and the interest under the loan agreement. They developed a legal position enabling them to get round the traditional standard of proof in bankruptcy cases and to make sure that the dispute was heard with the bankrupt debtor’s participation on general civil law grounds, resulting in an outcome in the client’s favour.

Our firm has successfully challenged a series of related Rospotrebnadzor acts on the assumption that the client had breached consumers’ rights by prohibiting return of gift vouchers. The lawyers developed a comprehensive legal position based on the optional nature of a gift voucher and substantiated the legality of the client’s sales rules prohibiting return of gift vouchers. The case set a precedent since a totally opposite approach had been applied in arbitration practice, taking no account of the arguments and legal position prepared as part of the project. The option model with respect to gift vouchers is now applied actively by many other retailers.

The lawyers succeeded in settling a rent dispute, achieving a substantial reduction in penalty and conclusion of an amicable agreement on optimal conditions. As a result of the strategy developed and use of the notary’s deposit for making settlements with a subtenant, control over which was claimed by the new owner of a retail centre, the client managed to avoid paying a large amount in penalties, fines and double rental, and additional disputes with the owner, while continuing to operate in the profitable retail centre.

Comprehensive restructuring of the Inditex group of companies in the Russian Federation. Development of a legal mechanism for restructuring of a business group, formation of a list of necessary measures at the international level, ensuring the coordination of actions of all participants in the process and settlements between them in the amount exceeding EUR 2.5 billion. As part of the project, comprehensive legal support was provided for the process of registration of the sale and purchase of shares in the authorized capitals of limited liability companies, as well as shares of a non-public joint-stock company, including the preparation of the minutes of the approval of these transactions by foreign companies.
Large retail facility in the centre of Moscow
Lawyers supported a complex transaction for registration and sale of a large property in the centre of Moscow with an area of 25,000,000 sq.m. to foreign purchaser. A detailed study of the transaction structure was provided, including various scenarios involving the alienation through the sale of corporate assets registered in foreign jurisdictions, a direct sale with settlements abroad, and the creation of an SPV. The client was offered various options for the further operation of the complex, taking into account the specifics of the regulatory restrictions of the facility. The client proceeded to the sale of the object on the most favourable terms.

The company lawyers supported a number of corporate procedures for the payment of dividends to the shareholders of the group of companies — a large international network specializing in the retail trade of clothing and accessories, whose global profit in 2019–2020 amounted to more than EUR 3.639 billion. The client’s company is one of the few companies in the Russian Federation that ensured dividend payment in 2020. The dividend payment procedure was successfully implemented.

As part of the project, the lawyers developed a transaction structure that involves the creation of a new joint venture with a successive alienation of the shares of the current owner of the business, with the acquirer of the business and the seller becoming the participants of such business. The client carried out a comfortable exit from the business and received a guarantee of a return on investment by concluding an option agreement.

We defended the client's interests in a dispute with a German investor. The client performed contract works associated with the construction of an industrial tank for liquefied oxygen as part of a complex technological facility. Following the results of the work performed, the customer evaded payment, referring to the occurrence of additional costs and losses incurred by it during the construction process. The lawyers managed to resolve the disagreements that had arisen and achieve continued cooperation with the German investor on favourable terms.

The lawyers of our company successfully defended the interests of the owners of office premises in the Class A Business Centre in a dispute with the management company in connection with the inefficient management of the Business Centre, which led to significant problems in its operation, as well as in connection with the unreasonably high cost of servicing the Business Centre by the management company. The ownership right to the land was declared in the client’s favour. The commercial value of the property complex increased significantly (currently it amounts to RUB 450 million). The client got the opportunity to sell it at the best price.

The lawyers defended the client's interests in a number of disputes on the reconstruction of a cultural heritage site in the historical centre of Moscow in the International Commercial Arbitration Court. The lawyers of the company formed a confident legal reasoning and collected an evidence base confirming the unfair performance of work by the opponent, namely the use of unacceptable historical, architectural, construction and design solutions, waste of funds, overestimation of costs for research and contract work at the facility, concealment of problematic aspects of the project documentation on the object. The result was the confirmation of a number of significant violations committed by counterparties. The client's savings amounted to RUB 350 million.

Lawyers provided preparation and support for the conclusion of commercial real estate lease agreements with potential tenants — dealers of leading car manufacturers. A set of legal measures was developed to protect buildings leased to car dealers from damage and destruction that could occur in connection with the placement of large equipment in the building, and redevelopment planned by future tenants. Delicate negotiations with tenants were successfully carried out, all the necessary conditions were included in the contract to protect the owner of the object to the extent possible. The client minimized the risks of deterioration in the condition of the property, got the mechanisms to control the activities of the tenant and got the opportunity to terminate the contract unilaterally out of court in the event of the sale of objects.
